The first real decision is structure, and it's one founders often rush past. A private limited company, incorporated with SECP under the Companies Act 2017, gives you a separate legal entity and limited liability, and is generally the right call if you plan to raise investment or bring on multiple shareholders. An LLP, under the Limited Liability Partnership Act 2017, gives limited liability with a lighter, partnership-style management structure, and tends to suit professional and service businesses better than companies looking to raise outside capital. A traditional partnership is simpler still, but carries unlimited liability — worth understanding clearly before you default to it just because it's familiar.

Once the structure is chosen, incorporation itself is mostly a documentation exercise — name reservation with SECP, memorandum and articles of association, and the incorporation filing itself — followed by FBR tax registration and any sector-specific licence your business needs. The paperwork isn't the hard part. The hard part is making sure the memorandum and articles actually reflect how you and your co-founders intend to run and eventually exit the business, because that document is what gets read first if a dispute ever arises.

Private Limited Company or LLP — What Actually Decides It

If you're planning to raise investment, bring on shareholders beyond the founding team, or eventually sell the business, a private limited company is almost always the better fit — investors are set up to invest in companies, not LLPs. If you're a smaller professional or service business with no plans to raise outside capital, an LLP's lighter compliance burden can genuinely save time and cost without giving up limited liability.

The Founders' Agreement People Skip

A huge share of the co-founder disputes we see later could have been avoided by a clear founders' or shareholders' agreement at the start — covering vesting, what happens if someone leaves early, and how decisions get made. SECP incorporation does not require this document, which is exactly why it gets skipped, and exactly why it shouldn't be.
